  1. The Promoter is Bauer Consumer Media Limited which publishes Kerrang!. These terms and conditions govern the competition. Bauer’s principal place of business is at Endeavour House, 189 Shaftsbury Avenue, London WC2H 8JG. References in these terms and conditions to the entrant are references to each and all of the individuals who make up the relevant band.
  2. NO PURCHASE OF ANY SORT IS NECESSARY to enter the competition
  3. Employees, families or agents of the Promoter or any of its associated companies along with employees, families or agents of Puig are not eligible or entitled to enter the competition. Only one entry per person and per household is permitted. Each entrant must be a band (consisting of two or more persons); no individual may be part of more than one band.
  4. The eligibility of any entrant is at the sole discretion of the Promoter. All entrants must be over 14 years of age at the date of entry and resident in the UK. All entrants under the age of 18 will need to specify a legal guardian at point of entry who can sign the record contract, if they are part of the winning band, and sign and other relevant documents on their behalf.
  5. In order to enter this competition you need to have internet access. Entries will only be accepted on the official internet form.
  6. Incomplete, illegal, illegible, misdirected or late entries will not be accepted. The Promoter accepts no responsibility or liability for any lost, damaged or incomplete entries and all such entries will be deemed invalid. Proof of entry shall not be proof of delivery or receipt. Only entries received in accordance with these terms and conditions will be acceptable.
  7. Entries must be received by the Promoter by midnight on Sunday 16th August 2009. The Promoter reserves the right to revise this date and extend the period for accepting. Any entries received after that date will be deemed invalid.
  8. Entrants have to go to www.kerrang.com/blackxslivesound and upload a full song as their entry. This song must be the band's original work, music and lyrics composed and written by one or more members of the band, must not infringe the intellectual property rights or any other rights of any other person and all rights of any nature in relation to the song must belong to the entrant without any fetter or obligation to any other person; by entering the competition each member of the entrant band confirms to the Promoter that this is the case and undertakes to indemnify the Promoter against all consequences of any claim that this is not the case.
  9. Entries will be judged by a panel of judges from the music industry and Kerrang! editorial on Monday 17th August 2009. Four (4) finalists will be chosen and will be given the opportunity on dates notified by the Promoter between Monday 24th August and Friday 4th September 2009 to interview a band for advice, get styled as a band, have stage and studio training, at such time(s) and at such venue(s) as the Promoter shall determine. All dates are subject to alteration by the Promoter. The Promoter shall have no liability or obligation to any person if that person is not able to take up this opportunity for any reason.
  10. The four (4) finalists will be invited to perform at a battle of the bands event taking place on (date) at (venue). One (1) winner will be chosen on that night by the judges from those four (4) finalists.
  11. All decisions of the judges/Promoter are final and no correspondence will be entered into. If the competition winner fails to respond to the call from the Promoter notifying them of the result, the Promoter shall be entitled to select an alternative winner and the entrant who has not responded will not be entitled to the prize or any alternative.
  12. The winning band wins (i) a contract with a record label on such terms as that record label shall determine but including at least the chance to have the song they entered pressed as a single and released (up to 500 physical copies and available for purchase digitally) through Search And Destroy Records (ii) a feature interview in Kerrang! magazine and (iii) one Epiphone guitar from Gibson.
  13. The prize is subject to availability and the Promoter may, at its sole discretion, substitute a prize of a similar nature and/or comparable value. The prize winner may not request and shall not be entitled to a cash or any other alternative to the prize and the prize is non-refundable and non-transferable.
  14. The Promoter will not be liable if the prize does not reach the prize winner for any reason or if the prize is damaged during delivery or if the prize winner (or any member of the band) is not able for any reason to take up the prize or any part of it.
  15. Proof of age may be required before the prize can be claimed by the prize winner. Before a prize is awarded, the prize winner may be required to sign a statement of eligibility and liability/publicity release.
  16. All entrants agree, if they/their band is the prize winner, to take part in any promotional activity at the Promoter's request and consent to the name of the band and its members, their location and photographs being published for the purposes of this competition and, at the Promoter's discretion, in any media and in any manner for the purposes of promoting the Promoter and its business.
  17. By entering the competition, all entrants accept these terms and conditions. The decision of the Promoter is final in respect of all matters connected with the competition.
  18. The Promoter and/or its associated companies will keep details of all entries on a database. By entering the competition, entrants give their consent to the Promoter and its associated companies to use this information and to pass this information to other relevant third parties (such as prize fulfilment houses) to enable the processing of this competition; to enable the fulfilment of the prize; for all purposes described in these terms and conditions; and, where the entrant has given the requisite consent, to use this information and to share this information with other companies, in order that the entrant may be sent details of the Promoter and/or its associated companies' and those other companies' goods and services by email, post and SMS. Each entrant will be given the opportunity to indicate their consent to email and SMS marketing in the entry mechanism of the competition.
  19. By submitting an entry, each entrant irrevocably and exclusively grants to the Promoter with full title guarantee a non-exclusive, perpetual, free of charge (and without any obligation to make any payment or any other compensation to any person), licence to use, reproduce and exploit in any way and in/on any medium and for any purpose the song, and any extract from it, that the entrant uploads as its entry to the competition. By entering the competition each member of the entrant band confirms to the Promoter that he/she has the unfettered right to grant such licence and undertakes to indemnify the Promoter against all consequences of any claim that this is not the case.
  20. Other than for death or personal injury arising from negligence of the Promoter, so far as is permitted by law, the Promoter hereby excludes all liability for any loss, damage, cost and expense, whether direct or indirect, howsoever caused in connection with the competition or any aspect of the prize.
  21. These terms and conditions are governed by and construed and performed in accordance with the laws of England and Wales, whose courts shall be the courts of exclusive jurisdiction.
  22. The winner’s details will be available to the public for 1 month after the date of the final event by sending a stamped addressed envelope to Kerrang! Black XS Live Sound Competition, Bauer Media Brand Solutions, Endeavour House, 189 Shaftesbury Avenue, London WC2H 8JG.
  23. The Promoter reserves the right to cancel the competition or any part or aspect of it for any reason and without liability to any person.
